New Community Banks have proven to be good for their communities by invigorating banking offerings, introducing new technologies that will save you time and money in your business and introduce you to new services. Over the last decade investing in new (de novo) Banks has proven to be a profitable long term investment, as those of you who previously invested in local start up banks know very well.

A number of people - you probably know some of them - hatched the idea a while ago and embarked on a path to make it a reality. They were passionate about bringing the most advanced ideas in banking to you and your business and, in addition, giving you the opportunity to get in on the ground floor as a founding investor.

So, first of all we want to invite you to become an INVESTOR. Founding shareholders will enjoy special privileges and share in the success as time goes on. We are very confident that you will become a client as well, once you see what we have to offer and especially HOW we will offer it.

Demographics show that Poulsbo, centrally located to surrounding communities, is a prime location in the North County. Our headquarters will be in the heart of the (still) emerging Business District - 19917 Seventh Ave NE on the Hwy 305 corridor.


WHO IS INVOLVED?
We are local business people from a variety of local businesses with a vision to bring our "Trusted Advisor" brand of banking to you, your business and your family. The Executive staff members have been recruited from successful careers in the local banking industry - including Roger White from Alaska.


HOW CAN I PARTICIPATE?
We now passed another milestone and have received all the necessary Regulatory approvals to start our Capital Campaign. Please call any of the Organizers or Robert Brown, Investor Relations (Office: 360-297-2022 or Cell: 678-557-5567) so we can rush the Offering Circular and the Subscription Agreement to you. These documents are also part of this Website. When you have all your questions answered, let us know that you are ready and we will pick up your Offering Circular with your check. Note: There are other options for transferring funds – call for information.


All funds will be deposited in a Trust Account in your Name until the Capital is fully subscribed and we can open our doors. Along the way, we will keep you informed of our progress. Call anyone of our Founders, Directors and staff members for assistance. Investments are open to individuals, businesses, joint ownership in many different ways. You can designate shares in the name of your children, grandchildren, your IRA plans and Trusts. Again, if you have any questions, contact us and we will do our best to get answers for you. At this time, we feel that ownership in the name of your IRA presents a good strategy, as several of our Founders/Directors have already utilized this vehicle. What makes Liberty Bank a good investment?
Over the past decade Community Banks, and "de novo" (new) banks have enjoyed a reputation of being a profitable long-term investment. The banking industry is highly regulated and as such they are considered a safer investment than other new businesses. How much capital will you raise?
Our goal is to raise between $11.5 and $14 million. Funds will be held in an escrow account in your name until the full amount of capital is paid in and the Bank opens.

 

Why start a new bank now?
Why we would open a new bank in this current financial and economic climate is a good question. Actually, it is difficult to imagine a better time.

  • Interest rates are low and the Bank's loan portfolio is clean with no bad loans.

  • There are many new innovative and high tech options available now. Liberty Bank will have the opportunity to integrate these immediately - without having to upgrade antiquated systems - and provide a superior banking experience to it's clients.

    When and where will Liberty Bank open?
    Liberty Bank is scheduled to open in Summer of 2008. Our address will be 19917 Seventh Ave NE in the Hwy 305 corridor just north of the Poulsbo Shopping Center.

     

    What steps do I need to take to invest in Liberty Bank?
    Until the Prospectus for stock subscriptions is available (very soon), you will need to complete a (non-binding) Letter Of Intent (LOI) and send it to us at Liberty Bank in Organization at P.O. Box 1090, Poulsbo, WA 98370. Click on this link for a copy. You may call any of the Directors - you will probably have some more questions - and we will arrange to meet with you and pick up the LOI.

     

    What is the cost of the shares and how much can I invest?
    The initial price will be $10 per share with a minimum purchase of 2,000 shares ($20,000). The maximum purchase will be 9.9% of the final total amount raised.

     

    When will I have to pay for my shares?
    Having received regulatory approval (May 2008), we will send you the Offering Circular with a subscription agreement shortly. You will need to be prepared to send in your funds at that time. (They will be held in escrow for you until all the capital has been raised and the Bank is open.)

     

    Am I guaranteed to get the shares I sign up for?
    The stock will be allocated based in part on which investors send their funds in first. Other factors, such as an indication of investors becoming bank clients will be considered. We will make every attempt to fill all the subscriptions for the shares requested.

     

    Can I purchase shares through my IRA or retirement plan?
    Yes, if you have a plan where you can self-direct your investments. Please call your Plan Administrator, who will help you with this process. If you need, we have a number of low-cost options available for you. (LINK TO IRA PAGE)

     

    Can I purchase shares in the name of my business, family members, Trusts etc.?
    Yes - and the combined total will count towards the 2,000 share minimum.

     

    Will I be able to purchase shares after the Liberty Bank opens?
    The initial stock offering expires when the Liberty Bank opens. Because of this, we encourage you to purchase your shares during the offering period.

     

    In the future will I be able to sell my shares at any time?
    No - these shares are not listed and there may not be a ready market for these shares at all times. This is a long term investment. If you believe that you will need the funds in the near term, an investment in Liberty Bank may not be appropriate for you. While the bank will maintain a list of sellers and purchasers of Liberty Bank shares, the liquidity is not that of publicly traded shares. However, should there be a pressing need, call us and we will try to help.

     

    Are my shares insured by the FDIC?
    The FDIC insures only deposits of banks. These shares are not deposits and they are not insured by the FDIC or any other agency and are subject to the risks incurred by any investment, which can include the loss of principal.

     

    Will the Bank pay dividends?
    Initially the Bank will not pay dividends and will retain profits in order to grow. However, the Board of Directors may authorize dividends in the future.

     

    How do you start a new Bank?
    The original founders group lays the groundwork, hires the executive staff and prepares a very detailed application - with demographics, detailed business plans, projections, selection of a building and a thousand other details. This application is presented to the Department of Banking in Olympia and the Federal Deposit Insurance Corporation (the FDIC who insures Bank deposits) who make sure everything checks out and - in due time - grants approval. We received approval in early May. While we are preparing the Offering Circular, we are contacting you and other investors for a preliminary commitment, a Letter of Interest (LOI), which we will convert to the actual investment when you have had a chance to review the Offering Circular and are ready to invest. Only when all the required Capital has been paid in, can we open the bank and start you and us on the road to success. The formal Offering Circular with all the details will be available to you in late May, early June together with a Subscription Agreement which you will return to us with your check. The funds will be held in a Trust account in your name until the Bank opens and you receive the actual shares.
